Mr. Babits is the Shell Group lead U.S. Securities counsel/associate counsel for Shell USA inc. Shell USA parent Shell plc, a global energy company based on London. Shell plc shares are listed in U.K., the Netherlands and the US. Accordingly Shell plc must comply with U.K., the Netherlands and US securities regulations. His responsibilities are widespread. Among his daily activities, Mr. Babits is involved in all aspects relating to U.S. securities law, including all 34 and 34 act reports, public offerings, M&A, and investigations. He has represented Shell plc in investigations by the SEC Division of Enforcement, US Department of Justice and the US Senate Permanent Subcommittee on Investigation. Additionally, he helps ensure compliance with the U.S. Securities and Exchange Commission (SEC) rules and regulations and is part of a team that includes U.K. and Netherlands attorneys. As a result he has developed extensive knowledge of UK and EU securities and disclosure rules and regulations. Moreover, he serves as an advisor to the Shell disclosure committee and is a member of its financial controls and reporting committee and the company’s Carbon Reporting Committee.
Leveraging more than 30 years of expertise, Mr. Babits spent many years with the SEC in Washington, D.C., as an attorney advisor and special counsel in the Division of Corporate Finance from 1991 to 1997. He then spent approximately a year with Morgan Lewis and Bockius as associate in their securities group, where he advised on US securities laws. In 1998 he returned to the US Securities and Exchange Commission and served as special counsel in the office of Chief counsel where he was primarily engaged in rulemaking. He was awarded the SEC Capital Markets Award and in 1999 to 2002 he served as Counsel to Commissioner Issac C. Hunt, where he advised on enforcement case and rulemakings. In 2002 he returned to the Division of Corporate Finance where he helped negotiate the Corporate Governance Rules of the NYSE and Nasdaq and was the principal drafter of the SEC Non-GAAP rules. Looking toward future opportunities, he plans to run for Congress in Florida as a Republican in 2024.
In preparation for his career, Mr. Babits received a Bachelor of Arts in economics in 1985 and a Master of Business Administration in finance and investments in 1988 from The George Washington University, followed by a Doctor of Jurisprudence from the Antonin Scalia Law School at George Mason University in 1991, where he was a member of the Law Review. Mr. Babits has also participated as a faculty member of the Practising Law Institute seminar on Global Capital and US Securities laws 2021, 2022, 2023.
Mr. Babits attributes his success to God and his family, his father, mother, wife and daughter. He also credits his education and accounting knowledge to his career accomplishments because they helped him prepare for his career as a securities lawyer. Of his many accomplishments he is most proud of raising a daughter who loves God, her family and has developed into a strong woman who has the wisdom to know when to say yes and courage to say no.

Babits currently serves Shell USA Inc. as lead U.S. securities counsel and associate counsel, having initially joined Shell USA Inc. in 2005. Well-versed in national securities law – including all 34 act reports, public offerings and investigations – he represents Shell plc in interactions with government entities and ensures compliance with the United States Securities and Exchange Commission (SEC) regulations. In fact, he was presented with the Capital Markets Award by the SEC.
Mr. Babits has also been a faculty member of the Practicing Law Institute’s seminar on global capital and U.S. securities law since 2021. Earlier in his career, he served the SEC in Washington, D.C., as an attorney advisor and special counsel in the Division of Corporate Finance between 1991 and 1997. Following this tenure, he spent one year as an associate with Morgan Lewis & Bockius in their securities group, then returned to the SEC as special counsel in the Office of Chief Counsel. From 1999 to 2002, he was counsel to Commissioner Isaac C. Hunt, then subsequently served again with the Division of Corporate Finance of the SEC beginning in 2002, where he helped to negotiate the corporate governance rules of the New York Stock Exchange and NASDAQ. Notably, Mr. Babits was the principal drafter of the SEC’s non-GAAP rules.
Looking toward the future, Mr. Babits is running for the Republican nomination to represent Florida’s 8th Congressional District in the U.S. House of Representatives in 2024. His key issues are securing the border, implementing term limits in Congress, and preventing coercion by federal agencies. Additionally, he would like to see federal agencies moved out of Washington to low-cost states. In accounting for his success, he credits the support of his family, his faith in God and his knowledge of accounting, which helped propel his career forward.
Equipped with an advanced education, Mr. Babits first earned a Bachelor of Arts in economics and a Master of Business Administration in finance and investments in 1985 and 1988, respectively, both from The George Washington University.
